By accessing or using Memoria ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Description of Service

Memoria is a personal AI context management platform that allows you to:

  • Create and manage a personal context profile
  • Create and manage project-specific contexts
  • Interact with multiple AI models (GPT-5o, Claude Sonnet 4.5, Gemini 2.5 Flash) using your context
  • Store and manage conversation history

The Service acts as an intermediary between you and third-party AI providers. We route your requests to these providers and return their responses.

3. User Accounts

3.1 Account Creation

To use the Service, you must create an account. You agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Be at least 13 years of age
  • Notify us immediately of any unauthorized access

3.2 Account Responsibility

You are responsible for all activities that occur under your account. We are not liable for any loss or damage from your failure to maintain account security.

4. Acceptable Use

4.1 Permitted Use

You may use the Service for lawful purposes in accordance with these Terms.

4.2 Prohibited Activities

You agree NOT to:

  • Use the Service for any illegal purpose or in violation of any laws

5. Content and Intellectual Property

You retain ownership of all content you submit to the Service (context profiles, projects, messages). By using the Service, you grant us a license to use, store, and process your content solely to provide the Service.

5.2 AI-Generated Content

AI-generated responses are provided by third-party services (OpenAI, Anthropic, Google). Ownership and rights to AI-generated content are subject to each provider's terms of service.

5.3 Our Intellectual Property

The Service, including its design, features, and code, is owned by Memoria and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or create derivative works without our permission.

6. Third-Party Services

The Service integrates with third-party AI providers:

  • OpenAI - GPT-5o
  • Anthropic - Claude Sonnet 4.5
  • Google - Gemini 2.5 Flash

Your use of these services through Memoria is subject to their respective terms of service and privacy policies. We are not responsible for the actions, content, or policies of these third parties.

7. Fees and Payment

7.1 Current Pricing

The Service is currently offered free of charge during the MVP phase. We reserve the right to introduce paid plans, subscriptions, or usage-based fees in the future.

7.2 Future Pricing Changes

If we introduce fees, we will provide at least 30 days notice. Continued use of the Service after the introduction of fees constitutes acceptance of the new pricing.

8. Service Availability and Modifications

  • Uninterrupted or error-free operation
  • Availability at all times
  • That the Service will meet your specific requirements

9.2 AI Content Disclaimer

AI-generated responses may contain inaccuracies, errors, or inappropriate content. We do not guarantee the accuracy, completeness, or reliability of any AI-generated content. You should verify important information independently.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEMORIA AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

10. Indemnification

You agree to indemnify and hold harmless Memoria and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your content or conduct

11. Termination

11.1 Termination by You

You may terminate your account at any time by deleting it through the Service settings.

11.2 Termination by Us

We may suspend or terminate your account at any time for:

  • Fraudulent, abusive, or illegal activity
  • Extended periods of inactivity

11.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We will delete your account data within 30 days, except as required by law.
